1. Definition of Confidential Information
“Confidential Information” means any non-public information disclosed by MASH Global WLL (“Company”) to the undersigned (“Recipient”), whether orally, in writing, or in any other form, including but not limited to creative briefs, campaign assets, client identities, strategic plans, financial data, and proprietary methodologies.
2. Obligations of the Recipient
The Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for the purpose of evaluating or performing work for the Company; and (d) protect it with no less care than the Recipient uses for their own confidential information, but in no event less than reasonable care.
3. Exclusions
This agreement does not apply to information that: (a) is or becomes publicly available through no fault of the Recipient; (b) was known to the Recipient prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or regulation, provided the Recipient gives prompt notice.
4. Term
The obligations under this agreement remain in effect for a period of two (2) years from the date of disclosure, or until the information no longer qualifies as confidential, whichever is later.
5. Return of Materials
Upon request or termination of the relationship, the Recipient shall promptly return or destroy all materials containing Confidential Information and certify in writing that they have done so.
6. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Doha, Qatar.
7. Remedies
The Recipient acknowledges that any breach may cause irreparable harm and that the Company shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
